1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the website located at ancaladistribution.com (the "Site"), operated by Ancala Distribution LLC, an Arizona limited liability company ("Ancala," "we," "us," or "our"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

2. Description of the Site

The Site provides information about Ancala's business as a retail and distribution company, including our company overview, the brands we are an authorized retailer for, and ways to contact us for general inquiries or wholesale account discussions. The Site does not currently operate as a direct e-commerce storefront; products we distribute may be offered for sale through other retail channels not governed by these Terms.

3. Acceptable Use

You agree to use the Site only for lawful purposes and in a manner consistent with its intended purpose. You agree not to:

• Use the Site in any way that violates applicable federal, state, or local law or regulation;
• Attempt to gain unauthorized access to the Site, its servers, or any systems or networks connected to the Site;
• Interfere with or disrupt the operation of the Site, including through the transmission of malware or automated scraping that places unreasonable load on our infrastructure;
• Submit false, misleading, or fraudulent information through any form on the Site, including the Contact and Wholesale Inquiry forms;
• Use any content from the Site for unauthorized commercial purposes, including misrepresenting your business's relationship with Ancala.

4. Intellectual Property

The text, layout, and design of the Site are owned by Ancala Distribution LLC unless otherwise noted. Brand names, logos, and trademarks referenced or displayed on the Site are the property of their respective owners. Reference to a brand on this Site (including on the "Brands We Carry" page) indicates that Ancala is an authorized retailer of that brand's products and does not imply sponsorship, endorsement, or partnership by the brand unless explicitly stated.

5. Third-Party Products and No Warranty

Ancala sources and resells products manufactured by third-party brands. Except as required by applicable law, Ancala makes no warranties or representations, express or implied, regarding the products we distribute beyond those provided by the original manufacturer. Any product warranties are the responsibility of the applicable manufacturer or brand. The Site and its content are provided "as is" and "as available," without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

6. Wholesale and Business Inquiries

Submitting an inquiry through our Contact or Wholesale Inquiry forms does not create any obligation on the part of Ancala to enter into a business or purchasing relationship, and does not create any obligation on the part of a brand or distributor to grant a wholesale account. Any resulting business relationship, including account terms, pricing, and purchasing conditions, will be governed by a separate agreement between the parties.

7. Limitation of Liability

To the fullest extent permitted by applicable law, Ancala Distribution LLC and its members, managers, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, arising from or related to your use of, or inability to use, the Site, even if we have been advised of the possibility of such damages. Ancala's total liability for any claim arising out of or relating to these Terms or the Site shall not exceed one hundred dollars ($100).

8. Indemnification

You agree to indemnify and hold harmless Ancala Distribution LLC and its members, managers, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of your violation of these Terms or your misuse of the Site.

9. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict of laws principles. Any dispute arising under or relating to these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Arizona.

10. Changes to These Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated "Last updated" date. Continued use of the Site after changes are posted constitutes acceptance of the revised Terms.
